Adani Group is India's second-largest conglomerate, built around hard infrastructure: ports, mines, airports, data centers, and power generation and transmission. It spans seven key listed companies — the flagship Adani Enterprises (ADANIENT) among them — with a combined market value of roughly ₹17.8 trillion (US$218 billion) at the time of the report. Founder and chairman Gautam Adani, a former diamond and plastics trader, was then the world's third-richest person, with a paper fortune above US$120 billion.

Business Model

The group earns its money from hard-infrastructure operations — running ports (led by Mundra), generating and transmitting power, distributing gas, and building airports and data centers, plus edible oils through Adani Wilmar. The flagship, Adani Enterprises, acts as an incubator that hatches and spins out new businesses. Hindenburg notes that infrastructure is normally a low-growth, low-multiple sector, yet Adani's listed companies trade at multiples it likens to the frothiest high-growth tech names. The report argues the group's value has come less from operating performance than from a roughly 819% average three-year surge in its share prices.

Hindenburg Research's Key Allegations

    Hindenburg alleges that offshore Mauritius funds it believes are secretly controlled by the Adani family hold much of the listed companies' supposedly "public" float. Reclassified as insider holdings, four Adani companies would breach India's 75% promoter ceiling and face delisting.

    Suspect offshore entities accounted for as much as 30%–47% of annual "delivery volume" in several Adani stocks, according to the report — a pattern it says is consistent with wash trading and artificially inflated price and volume.

    Gautam Adani's elder brother Vinod allegedly controls a labyrinth of at least 38 Mauritius shell entities, with others in Cyprus, the UAE, Singapore and the Caribbean. The report says these moved billions into Adani entities — frequently without the required related-party disclosure — to bolster reported profits and mask the group's true financial health.

    India's Directorate of Revenue Intelligence accused Gautam Adani's brother Rajesh and brother-in-law Samir Vora of central roles in a diamond import/export scheme, and Rajesh was arrested twice on separate fraud allegations. Rather than being removed, both were promoted to senior group roles.

    A 2007 SEBI ruling found that Adani promoters had aided and abetted notorious manipulator Ketan Parekh in rigging the company's stock; the bans were later softened to fines. The flagship's auditor, Shah Dhandharia, is a tiny firm whose signing partners were as young as 23 and 24.

A genuinely independent public fund would be diversified. Hindenburg points to this near-total concentration in a single promoter group's shares as evidence of "stock parking" — ownership held offshore to disguise insider control.
