Activ8 Report Assessment
Activ8 evaluates every investigator report across three dimensions: the nature of the thesis, the type of evidence supporting it, and the catalyst for stock repricing. Scores are derived solely from the source report. New to these dimensions? Read our guide.
Night Market Research documents deliberate misrepresentation of partnership status, including CFO Mika's April 21 interview implying active Celestial AI shipments days before disclosing order cancellation, and a warrant-for-purchase-order structure with Lumilens that the firm characterizes as circular stock promotion rather than genuine commercial demand. The $4B valuation at 3,700x 2025 revenue is characterized as nonsensical for a company with $1.2m in cumulative chip revenue since 2018 and a technology an industry expert called 'a solution looking for a problem.'
Night Market Research conducted primary fieldwork at OFC 2026, interviewing executives from seven POET partners, visiting the Toronto headquarters, and speaking with a former senior Rockley Photonics engineer; it also reviewed Singapore corporate filings for Rain Tree Photonics, Accton financial statements, SEC and SEDAR filings, and Zacks analyst reports. Analytical work includes benchmarking POET's IP against Celestial AI's $20m Rockley patent acquisition and modeling Lumilens' implied valuation from Accton's balance sheet carrying value.
Night Market Research identifies the pending $50m Lumilens purchase order fulfillment timeline (engineering samples late 2026, production ramp 2027) as a near-term event likely to expose the agreement as non-binding, and notes POET's unnamed lawsuit disclosure and the $400m capital raise completed on the basis of the Lumilens deal as specific events already in motion that could force repricing.

How POET Technologies Makes Money
POET Technologies (NASDAQ: POET) develops the Optical Interposer, a passive-alignment photonic integration platform designed to reduce cost and complexity in high-speed datacenter transceiver modules. Originally the semiconductor division of Opel Solar, the company rebranded in 2013 and formally launched the Optical Interposer in 2018. Cumulative chip revenue since 2018 totals $1.2m. POET outsources manufacturing, previously through a joint venture with Sanan IC (Super Photonics Xiamen), which collapsed in November 2024 after Sanan funded only $7m of $25m committed, and now through agreements with Malaysian firms Globetronics and NationGate. The company recently completed a $400m equity raise.
Main Report Evidence
Rain Tree's Financials Expose Lumilens' Technology Platform as Commercially Worthless
Rain Tree Photonics, acquired by Lumilens seven weeks before the $50m POET order was placed, generated only $800k in revenue over three years while its total assets collapsed from $12.7m to $3.2m. Night Market Research draws on Singapore corporate filings to show that none of Rain Tree's marquee partnerships produced volume deployments, attributing the failure to die-shift, warpage, and yield problems inherent in its FOWLP-based photonic architecture. Because the entire Lumilens-POET deal rests on this technology, Night Market Research argues the $50m order and POET's broader commercialization narrative lack a credible technical foundation.

Key Allegations
Marvell Partnership Dead Years Before Disclosure
Night Market Research reports that Celestial AI's Senior Director of Product Management told them at OFC 2026 that POET has not been discussed internally at Celestial since 2023. CFO Thomas Mika referenced an 'invoice' from Celestial AI in an April 21 interview, implying active near-term shipments; POET disclosed the order cancellation six days later on April 27. Night Market Research believes Mika's characterization was inaccurate and misleading, and that POET's explanation attributing the cancellation to a confidentiality breach does not add up.
Seven OFC Partners Describe Dead or Immaterial Relationships
At OFC 2026, Night Market Research spoke to executives from seven POET-listed partners and found unanimous evidence of commercially insignificant or defunct relationships: a Foxconn executive said Foxconn stopped using POET two years ago; two Luxshare product development executives had never heard of POET; an Adtran executive confirmed POET technology is in only one transceiver still in technical testing with no plans to expand; and LITEON's President stated 'LITEON doesn't cooperate with this company' and 'there isn't actual business between us.' Mitsubishi has not issued its own press release on its POET arrangement and is not marketing any POET product.
Lumilens Order Structured as Warrant-Funded Circular Promotion
Night Market Research alleges that Lumilens, which has no patents, no publicly announced customers, and revenues of only a few million dollars, received 2.3 million warrants now worth over $30m simply for signing a $50m purchase order with no apparent binding obligation to buy anything. Lumilens CEO Ankur Singla sits on Accton's board of directors, and Accton invested $9m into Lumilens' Series B in April 2025; Accton and Lumilens offices are within a few hundred feet of each other in San Jose. Night Market Research believes Accton's subsidiary GoldiLink is also likely POET's unnamed $5m customer, making the entire arrangement circular.
JV Collapse and $3m Unfulfilled Order Signal Commercialization Failure
Sanan IC withdrew from POET's Super Photonics Xiamen joint venture in November 2024 after contributing only $7m of $25m committed, with POET now repaying Sanan $6.5m over five years. A $3m purchase order from Beijing FeiYunYi Technology announced in May 2023 was never fulfilled, and Night Market Research believes the $5m order announced in October 2025 faces similar cancellation risk given POET's refusal to identify the customer and management's avoidance of the topic in public forums.
POET Technology Described as Commercial Dead End by Rockley Engineer
A former senior engineer at Rockley Photonics, which POET's own CFO identified as its closest competitor, told Night Market Research that POET's Optical Interposer is 'a solution looking for a problem' and that incumbent silicon photonics and externally modulated laser technologies are 'good enough' to meet hyperscaler needs for the next decade. The engineer stated that the pluggable transceiver market is 'a race to the bottom when it comes to cost' and that POET cannot compete, noting that Intel, Broadcom, and every US vendor exited the business. Night Market Research notes that Celestial AI chose to acquire Rockley's patent portfolio for $20m in October 2024, implying a per-share IP value of roughly $0.15 for POET, rather than invest further in POET despite prior familiarity with the technology.
