Bottom Line

How SharonAI Makes Money

SharonAI is an Australian "Neocloud" — a high-performance computing operator that rents NVIDIA GPU capacity to AI customers from data centers it operates in Australia. Per the report, the company markets itself as the Southern Hemisphere and Asia Pacific equivalent of CoreWeave and Nebius, and is one of three certified NVIDIA Cloud Partners (NCPs) operating in Australia. Management claims the ability to deploy more than 20,000 NVIDIA B200 and B300 GPUs across data centers operated by partner NEXTDC, with capacity expected to expand from approximately 50MW to approximately 70MW. The economics depend on signing multi-year "take-or-pay" customer offtake agreements that, in the company's own framing, "provide the financial assurance necessary to secure GPUs at scale and to support underwriting of significant debt facilities." SharonAI became Nasdaq-listed via a $125 million uplist in February 2026, following a December 2025 reverse merger with the Roth CH SPAC, and reported $71 million of cash at fiscal year-end 2025 against roughly 2 megawatts of currently connected operational footprint. In March 2026 the company sold a 50% interest in its Texas Critical Data Centers joint venture for $70 million, characterized by management as "recycled capital" to accelerate the Australian GPU build.


Main Report Evidence

ESDS Earned $5.8M Last Year. The Contract Requires $250M Annually.

The cornerstone of SharonAI's bull case — and roughly three-quarters of every sell-side price target — rests on a five-year, $1.25 billion contract with ESDS Software Solutions Limited, a private Indian data center operator based in Nashik. Per Bleecker Street's deconstruction of ESDS's published 2025 Annual Report and SharonAI's filings, the contract requires ESDS to make annual payments averaging roughly $250 million and post $140 million in letters of credit. ESDS reported $39.9 million in fiscal 2025 revenue, $5.8 million in net profit, and $69.5 million in total assets. The annual payment alone is 6.3 times the counterparty's entire revenue and 43 times its net profit; the letter-of-credit obligation exceeds its balance sheet.

Key Allegations

The $1.25 billion ESDS contract demands payments that dwarf the counterparty's entire business.

According to Bleecker Street, ESDS Software Solutions earned $5.8 million of net profit on $39.9 million of revenue in fiscal 2025, against a contract requiring annual payments of roughly $250 million and a $140 million letter-of-credit posting that exceeds its $69.5 million total balance sheet. ESDS markets itself on Indian data sovereignty and serves more than 400 banking customers subject to RBI data localization rules — customers the firm argues legally cannot use compute hosted in Australia. ESDS's largest customer, accounting for roughly 20% of FY2025 revenue, is sanctioned Russian Gazprombank, which has been on the U.S. OFAC SDN list since November 2024 and on Australia's Consolidated List.

SharonAI's $500 million debt facility comes from a one-year-old DeFi protocol with $284 million of lending capacity against $1.2 billion in approvals.

USD.AI is operated by Permian Labs, the same team behind a collapsed NFT-lending product called MetaStreet. Per USD.AI's own Proof of Reserves page, the protocol holds approximately $284 million of capital available for lending against $1.2 billion in approved facilities across three counterparties: SharonAI, Tokyo-listed eyelash extension company Quantum Solutions, and a subscale Georgia bitcoin miner called QumulusAI. Bleecker Street notes the same $500 million "approval" template was issued to QumulusAI three months earlier, and that USD.AI's total value locked has fallen from a January peak above $675 million to under $350 million.

A $350 million Oaktree convertible contradicts the war-chest narrative and confirms the funding gap.

Eighteen days after Cantor Fitzgerald told investors SharonAI had a $795 million "war chest," management signed a $350 million 6% convert with Oaktree, conditioned on SharonAI entering a separate binding customer contract for a minimum of 4,068 GPUs in connection with a project named "Sydney S6." Bleecker Street argues the additional GPU requirement would be superfluous if the existing ESDS contract represented bookable demand. The founders extended their lock-ups through March 31, 2027 as a closing condition; the non-founder insiders, including the Roth CH SPAC sponsor and the selling shareholders named in the April 17 Post-Effective Amendment, did not.

The CEO's prior public company is suing him for self-dealing — and the same entities have followed him to SharonAI.

Mawson Infrastructure Group alleges that James Manning routed approximately A$11.5 million through Flynt International Cargo Solutions, a shipping company he controlled through Vertua Limited, without disclosing his interest to the Mawson board. Per Mawson's court filings, Manning refused to attest to his own related-party transactions, sent a meme of a burning home to a Mawson director, and told a third party he intended to "burn Mawson to the ground." Flynt ICS is now a disclosed vendor of SharonAI; two Mawson senior personnel followed Manning to the new company; and the same supervoting structure that entrenched Manning at Mawson — 65% of votes against 1% of economics — has been replicated at SharonAI.

SharonAI's foundational acquisitions were sales by insiders to themselves at valuations they set.

Manning, Nicholas Hughes-Jones, and Andrew Leece sold their private Australian entities (SAIPL and DSS) into the Delaware shell for stock the same insiders valued, in transactions executed before SharonAI had independent directors or an independent valuation. According to Bleecker Street, Vertua — the Manning-controlled vehicle that held a stake in DSS — marked the asset at zero on its September 30, 2023 balance sheet and at A$396,000 by March 31, 2024. Nine months after the zero mark, on June 29, 2024, SharonAI acquired DSS from those same insiders for $25 million in stock. The publicly available record does not identify a transformation in DSS's underlying business that would explain the markup; SharonAI ceased operating the DSS business in June 2025 to focus on GPUs.
